Terms of Service

1. Acceptance of Terms
By accessing or using the services provided by Syntax & Sense ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
Syntax & Sense provides custom software development, web and mobile application development, UI/UX design, cloud solutions, DevOps consulting, and related digital services. The specific scope, timeline, and deliverables will be outlined in individual project agreements or statements of work.
3. Client Obligations
- Provide accurate and complete information required for project execution
- Provide timely feedback and approvals as outlined in project timelines
- Ensure all content and materials provided are legally owned or licensed
- Make payments according to the agreed-upon schedule
4. Intellectual Property
Upon full payment, the client receives ownership of all custom code, designs, and deliverables specifically created for the project, except for:
- Pre-existing frameworks, libraries, and tools owned by Syntax & Sense
- Third-party components governed by their respective licenses
- Proprietary methodologies and processes of Syntax & Sense
5. Payment Terms
Payment terms are outlined in individual project agreements. Unless otherwise specified, invoices are due within 15 days of issuance. Late payments may incur interest at 1.5% per month. We reserve the right to pause work on overdue accounts.
6. Confidentiality
Both parties agree to keep confidential all proprietary information disclosed during the course of the engagement. This includes business strategies, technical architectures, source code, and any other information marked as confidential.
7. Warranties & Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner. Beyond this, our services are provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free service.
8. Limitation of Liability
Our total liability for any claim arising from our services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages.
9. Termination
Either party may terminate the engagement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed. Deliverables completed up to the termination date will be transferred to the client upon full payment.
10. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
